Welcome to SmartInvoice. These Terms of Service ("Terms") govern your use of our website and invoice generation services operated by SmartInvoice ("we", "us", or "our"). Please read these Terms carefully before using our platform. By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.

1. Acceptance of Terms

By accessing and using SmartInvoice, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using our service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms. These Terms apply to all visitors, users, and others who access or use the service, including guest users and registered account holders.

2. Description of Service

SmartInvoice is an online invoice generation platform that allows users to create, manage, and download professional invoices. Our service includes:

• Guest Access: Unregistered visitors can create a limited number of invoices per day (up to 5 invoices per day per IP address) without creating an account.
• Registered User Access: Registered users can create up to 20 invoices per day, save business profiles, access invoice history, and use advanced features.
• GST Compliance: Built-in support for GST (CGST, SGST, IGST) calculations suitable for Indian businesses.
• PDF Generation: Professional, print-ready PDF invoices with customizable templates.
• Administrator Features: Site administrators can manage users, settings, content, and advertising placements.

We reserve the right to modify, suspend, or discontinue any part of the service at any time without prior notice.

3. User Accounts and Registration

To access certain features of SmartInvoice, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your registration information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your password and accept all risks of unauthorized access to your account.
• Immediately notify us if you discover or suspect any security breach or unauthorized use of your account.

You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Guest Access Policy

SmartInvoice offers a guest access feature that allows users to create invoices without registering an account. By using guest access, you agree to the following:

• Guest users are limited to a maximum of 5 invoices per day, tracked by IP address to prevent abuse.
• Guest invoice data is stored temporarily and may be automatically deleted after a retention period.
• Guest access is provided "as is" with limited features compared to registered accounts.
• We reserve the right to restrict or disable guest access at any time to prevent abuse or maintain system performance.

5. Acceptable Use Policy

You agree not to use SmartInvoice for any unlawful, fraudulent, or harmful purpose. Specifically, you agree not to:

• Create fraudulent, misleading, or fake invoices intended to deceive any party.
• Use the service for money laundering, tax evasion, or any other financial crime.
• Attempt to gain unauthorized access to any portion of the service, other accounts, computer systems, or networks connected to the service.
• Use automated scripts, bots, or other means to interact with the service in a manner that places an unreasonable load on our infrastructure.
• Interfere with or disrupt the integrity or performance of the service or its underlying infrastructure.
• Upload, transmit, or distribute any viruses, worms, malware, or any other code of a destructive nature.
• Use the service in any manner that could damage, disable, overburden, or impair our servers or networks.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the service without our express written permission.
• Violate any applicable local, state, national, or international law or regulation.

Violation of this Acceptable Use Policy may result in immediate termination of your account and, where applicable, reporting to law enforcement authorities.

6. Intellectual Property Rights

The SmartInvoice platform, including its original content, features, functionality, design, logos, and branding, is and will remain the exclusive property of SmartInvoice and its licensors. The service is protected by copyright, trademark, and other laws of India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of the data you input into SmartInvoice, including business information, customer data, and invoice details. By using our service, you grant us a limited, non-exclusive license to use this data solely for the purpose of providing and improving the service.

7. User Content and Data

You are solely responsible for the accuracy, legality, and appropriateness of all content and data you enter into SmartInvoice, including but not limited to:

• Business names, addresses, and tax identification numbers.
• Customer information and contact details.
• Invoice items, descriptions, quantities, and pricing.
• Tax rates and calculations.

SmartInvoice does not verify the accuracy or legality of the information you provide. You acknowledge that generating invoices with false or misleading information may violate applicable laws, and you agree to indemnify us against any claims arising from your misuse of the service.

8. Advertising

SmartInvoice displays third-party advertisements, including those provided by Google AdSense, on public-facing pages. By using our service, you acknowledge and agree that:

• We may display advertisements on the website as part of our revenue model.
• We are not responsible for the content of third-party advertisements.
• Interactions with advertisers, including any purchases or terms, are solely between you and the advertiser.
• Advertising placement and frequency may change at any time without prior notice.

9. Disclaimers

SmartInvoice is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Any warranty that the service will be uninterrupted, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of invoices generated through our platform.
• Any warranty regarding the results that may be obtained from the use of the service.

You are solely responsible for ensuring that invoices generated using SmartInvoice comply with all applicable tax laws, accounting standards, and business regulations in your jurisdiction. SmartInvoice does not provide legal, tax, or accounting advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SmartInvoice, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from unauthorized access to or use of our servers and/or any personal information stored therein.
• Damages resulting from any interruption or cessation of transmission to or from our service.
• Damages resulting from any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our service by any third party.
• Damages resulting from errors, mistakes, or inaccuracies in invoices generated through our platform.

Our total liability for all claims related to the service shall not exceed the amount you paid to us, if any, during the 12-month period preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless SmartInvoice and its licensors, employees, contractors, agents, officers and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of and access to the service.
• Your violation of any term of these Terms of Service.
• Your violation of any third-party right, including without limitation any copyright, trademark, or privacy right.
• Any claim that your use of the service caused damage to a third party.

12. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination:

• Your right to use the service will immediately cease.
• We may delete your account data, including saved invoices, business profiles, and personal information.
• Provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may also terminate your account at any time by contacting us at support@smartinvoice.com. We will process your request and delete your data in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
